MINUTES OF THE SPECIAL MEETING OF THE BOARD OF DIRECTORS

ARABIAN ACRES METROPOLITAN DISTRICT

 

Held:      Monday, November 28, 2005 at 7:00 p.m. at 400 W.

               Midland Avenue, Suite 250, Woodland Park, Colorado.

 

Attendance

 

 

The special meeting of the Board of Directors of the Arabian Acres Metropolitan District was called and held in accordance with the statutes of the State of Colorado.  The following Directors were in attendance:

 

            Dennis S. Yoder

Gene L. Billings

David J. Biondo

 

Directors Alan Jordan and Radford Walker were excused, pursuant to 32-1-905(1)(g), C.R.S.

 

Also present were Ken Rupp, private consultant to the District.  Bidding Contractors present for interview were Roger Migchelbrink Operations Coordinator, Echo Resources, Inc. for operator; David Barwick & Chris Strole, for operator; Judy Simonson of Simonson & Associates, Inc. for accounting, billing, and management; Terry Malcolm, accounting, billing, and management.

 

Call to Order

Director Yoder noted that a quorum was present and called the regular meeting of the Board of Directors of the Arabian Acres Metropolitan District to order at 7:04 P.M.

Other Business

Director Yoder asked the Board to confirm that no changes have occurred to any of the Directors’ interests that warrant amending the written disclosures on file with the Secretary of State’s Office with regard to any potential conflicts of interest.  Pursuant to Colorado law, certain disclosures may be required prior to taking official action at the meeting.  The Board reviewed the agenda for the meeting, following which each Board member disclosed their conflicts of interest, stating the fact and summary nature of any matters, as required under Colorado law, to permit official action to be taken at the meeting.

First Interview:  Roger Migchelbrink, Operations Coordinator with Echo Resources, Inc.  Operates 102 water and wastewater systems throughout the mid-west, performs meter reading duties.  Base bid of $1,250 per month with no sampling, no hydrant or valve maintenance, discretionary services – based on response and allotted base hours included.  Not a lot of services above baseline.  Emergency response would come from Buena Vista or North Denver.  The AAMD would have a large billing consortium from Texas available to them for third party billing.  System would be monitored two days each week. Possible source for competitive loans through Native American Tribe from Keystone, SD for capital improvements projects.

 

Second interview:  Dave Barwick, Class 2 & Class B water operations & Chris Stroll, Class 3 & Class A water operations.  Both work alternating night and day shifts for the City of Colorado Springs Water Department.  Current operations include Rainbow Valley in Divide, Colorado.  They have 105 customers on a stand-alone system.  Their bid is $1,500 per month, negotiable.  They plan to be on site everyday.  They offer a $22 per hour ala carte services.  They want to solve problems to get AAMD operating efficiently.  They will work with Ken Rupp to solve problems.  Glad to have somebody who knows the system.  They have good ideas on what to improve upon to get a great working worry free system.  They will perform meter reading.  Preventative maintenance items are all included.  They will perform daily individual pump rates with all other necessary monitoring and will always be working to improve efficiency of system.  Computer based program of operations can be developed to monitor flow, water pumped versus water billed.  They would both obtain liability coverage.

 

Third interview:  Judy Simonson of Simonson & Associates, Inc. Administration – costs – maintaining costs.  She has three employees on staff beside herself.  Open to ala carte on an hourly basis.  She has 2 other special districts as clients.  She would come to a Board meeting once every six months.  Her office is located in Denver, Colorado. She would bill us about $17,100 yearly.  She recommends every other month billing to cut costs!  She has other cost cutting ideas.

 

Fourth Interview:  Terry Malcolm for administration and management.  Mr. Malcom operates the Cascade Metropolitan Water District, a former privately owned water company that has been around for almost 100 years.  Their mains are in bad shape due to neglect prior to CMWD.  They just obtained a new office building in Cascade.  They have a room for meetings and record storage.  They obtained a grant that saved their District by hiring a grant writer.  They will handle all bi-monthly billing, management, and administration.  He will charge $1,000 per month.  Their capabilities, which include on-site self-contained payroll, postings, accounting, auditing duties, and state of the art computer programs, are offered to the District.  They would also provide primary reports, consumer confidence reports, check registers, and customer service.  In January they will have their new offices up and running.

 

Discussion ensued regarding the merits and constraints of all bidders interviewed.

 

Director Billings made a motion to award the contract for the District’s system operator to David Barwick & Chris Strole with contract bid price to be negotiated with contractor during contract negotiations.  Director Billings also motioned to award the District’s administration and management contract to Terry Malcolm. Upon motion duly made, seconded by Director Biondo and unanimously carried, was approved.

There being no further business to come before the Board, and upon motion duly made, seconded and unanimously carried, the meeting was adjourned at 10:23 P.M.
